Business Use And Supplier Identity
NorBot Voice Systems is sold by NorBot Systems Inc., PO Box 23030, Stratford, ON N5A 7V8, to businesses for commercial use only. It is not offered for personal, family, or household consumer use.
The Customer represents that it is buying for its auto repair, tire, fleet, or related business and that the person accepting these Terms is authorized to bind that business.
AI Disclosure
The Service uses artificial intelligence and machine learning to answer voice and website inquiries, transcribe calls, summarize conversations, extract lead and vehicle details, and prepare owner-review tasks. The Service is not human-operated unless a NorBot or Customer team member explicitly joins the workflow.
AI output can be incomplete, inaccurate, delayed, or inappropriate for a specific customer situation. The Customer is responsible for reviewing AI-created records, approving outbound actions, and confirming diagnosis, pricing, availability, safety, warranty, and booking decisions before relying on them.
This disclosure is intended to support transparency obligations under privacy and consumer-protection rules, including Quebec automated-decision notice concepts, PIPEDA accountability and openness principles, and Ontario rules against false, misleading, or deceptive representations.
Call Recording And Consent
The Service records, transcribes, and analyzes voice communications when enabled. The Customer is responsible for giving end-users clear notice that they are interacting with an AI Service Advisor and that the call may be recorded for quality, training, CRM, and follow-up purposes.
The Customer must configure and maintain an approved pre-call or pre-session disclosure, such as: This call may be recorded and answered by an AI Service Advisor for quality, training, and service follow-up.
Canadian criminal law permits interception where one party to the private communication consents, but the Customer remains responsible for its own call-recording practices, customer notices, staff training, and retention of consent evidence.
- No hidden recording or undisclosed AI impersonation.
- No collection of payment cards, health data, insurance data, government ID, or full VIN unless a human-reviewed workflow separately permits it.
- Customer indemnifies NorBot for third-party recording, disclosure, or consent failures caused by Customer instructions, settings, staff, or use.
CASL Outbound Consent
The Service may prepare follow-up tasks, but outbound commercial electronic messages are owner-approved and must comply with Canada's Anti-Spam Legislation. The Customer warrants that it will obtain and retain valid express or implied consent before sending commercial email, SMS, or similar messages.
Every commercial electronic message must identify the sender, include valid contact information, and include a working unsubscribe mechanism. Unsubscribe requests must be honored promptly and without charge.
The Customer is responsible for retaining consent records for as long as it relies on consent and for at least three years after the last related commercial message where practical. The Customer indemnifies NorBot for CASL violations caused by Customer lists, approvals, scripts, or instructions.
Fees, Taxes, And Renewals
Prices are stated in Canadian dollars before applicable taxes unless the checkout or invoice says otherwise. Stripe calculates and adds GST/HST or other applicable taxes based on billing details and tax registration settings.
Monthly subscriptions renew monthly until cancelled. Annual subscriptions renew yearly until cancelled and are billed in advance at the annual price shown at checkout.
The Customer authorizes NorBot and Stripe to charge the selected payment method for recurring subscription fees, usage-based overages shown or agreed in the Service, and applicable taxes. NorBot does not add hidden mandatory platform fees outside the prices, usage rates, and government-imposed taxes disclosed before checkout.
Receipts and invoices are issued through Stripe. Customers should keep invoices for tax records and may request billing corrections by contacting ferdie@norbotsystems.com.
Data Retention And Deletion
Call transcripts, recordings, lead data, customer records, vehicle records, usage data, billing metadata, and audit logs are retained for 24 months unless a different written agreement, legal hold, security requirement, or customer export window applies.
A Customer may request deletion, correction, or export of Customer Data. NorBot will process the request within a commercially reasonable period, subject to security, fraud, billing, legal, backup, and audit-retention requirements.
NorBot may retain anonymized or aggregated operational metrics for service improvement, abuse detection, reliability monitoring, and product analytics, provided the retained data does not identify an individual customer or caller.
Customer Data Ownership
The Customer retains ownership of Customer Data submitted to or generated through the Service, including shop profile data, caller records, call transcripts, recordings, lead records, customer records, vehicle records, and booking-request records.
NorBot acts as a service provider and processor for Customer Data under applicable Canadian private-sector privacy rules. NorBot uses Customer Data only to provide, secure, support, improve, and document the Service, unless the Customer gives separate written instructions.
Limitation Of Liability
To the maximum extent permitted by law, NorBot's aggregate liability arising from or related to the Service is limited to the fees actually paid by the Customer to NorBot for the Service during the twelve months immediately before the event giving rise to the claim.
NorBot is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost goodwill, lost data, business interruption, vehicle-safety outcomes, customer no-shows, or missed opportunities.
Indemnity
The Customer indemnifies NorBot against claims, penalties, investigations, losses, costs, and expenses arising from Customer misuse of the Service, illegal content, third-party recording consent failures, CASL violations, uploaded data, customer lists, or instructions that cause the Service to violate law or third-party rights.
NorBot indemnifies the Customer against third-party claims alleging that the unmodified Service infringes a Canadian intellectual-property right, except where the claim arises from Customer Data, Customer instructions, third-party integrations, or use outside this Agreement.
Termination
The Customer may cancel future renewal at any time by written notice, approved billing workflow, or Stripe-supported cancellation workflow when available. Monthly cancellation takes effect at the end of the current paid monthly period. Annual cancellation and refund handling are described in the Refund Policy unless a signed order form says otherwise.
NorBot may suspend or terminate access immediately for non-payment, security risk, abuse, illegal use, or material breach. NorBot may terminate ordinary active service on 30 days' written notice where practical.
For 30 days after termination, NorBot will make commercially reasonable efforts to provide Customer Data export where the account is in good standing. After that period, Customer Data may be deleted according to the retention policy.
Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The parties submit to the courts located in Toronto, Ontario for disputes arising from or related to this Agreement.
Changes To Terms
NorBot may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 30 days before they take effect where practical. Continued use after the effective date means the Customer accepts the updated Terms.
